Terms of Service.

These Terms of Service ("Terms") govern your access to and use of the Nexservices platform, including our Cloud VPS hosting, Domain Brokerage, Digital Marketplace, AI Hub, and Custom Engineering Studio. By registering an account and funding your unified ledger, you agree to be bound by these rules.

1. Account Registration & The Unified Ledger

Nexservices operates on a centralized financial ledger system. To use our services, you must register a verifiable account and fund your internal wallet using Nigerian Naira (NGN).

• Account Security: You are strictly responsible for maintaining the confidentiality of your account credentials, API Bearer tokens, and SSH keys. Any actions taken from your authenticated account are legally considered authorized by you.
• Wallet Deposits: All fiat deposits made into your NGN wallet via third-party gateways (e.g., Paystack) are final. Your wallet balance is non-transferable to other users and cannot be withdrawn back to fiat currency unless specifically dictated by a successful peer-to-peer domain escrow sale.

2. Domain Brokerage & Escrow Regulations

Our SellerHub marketplace allows users to list, bid on, and acquire digital assets peer-to-peer using our automated escrow engine.

• Reservation & Listing Fees: To maintain marketplace quality, non-refundable listing fees and fully refundable reservation deposits ($5 equivalent in NGN) may be required. If a seller rejects your maximum proxy bid, your reservation deposit is instantly refunded to your ledger.
• Buyer Obligation: If you are the highest bidder at the end of an auction, or if you click "Acquire Now," you are legally bound to finalize the transaction. Failure to fund the final purchase price within 48 hours will result in the forfeiture of your deposit and potential account suspension.
• Private Acquisitions: Commissioning our brokerage team to hunt down a specific, unlisted domain requires a non-refundable retainer fee ($15 equivalent in NGN) to cover investigation and negotiation labor, regardless of whether the current owner agrees to sell.

3. Cloud Hosting & Acceptable Use Policy (AUP)

You have full root access to your provisioned Ubuntu VPS instances. However, you are solely responsible for the traffic and data originating from your servers. The following activities are strictly prohibited:

• Malicious Traffic: Deploying botnets, participating in Distributed Denial-of-Service (DDoS) attacks, or aggressive, non-consented web scraping.
• Phishing & Malware: Hosting fraudulent login pages, distributing ransomware, or transmitting unsolicited bulk email (SPAM).
• Illegal Content: Hosting content that violates local Nigerian or international laws, including child exploitation material or terrorism facilitation.

4. Digital Marketplace & Intellectual Property

When you purchase digital products (PHP scripts, React templates, Ebooks) from our ecosystem:

• Usage Rights: You are granted a non-exclusive license to use the codebase for your personal or business projects.
• Resale Prohibition: You may not copy, redistribute, or resell the raw source code or Ebook PDFs as your own standalone product on external platforms. Doing so violates our copyright protections.

5. Custom Engineering & Studio Work

If you hire the Nexservices Studio for bespoke backend builds or proxy architecture integrations, a separate, legally binding Statement of Work (SOW) will be drafted. Custom engineering projects are paid in milestones from your wallet ledger. Source code ownership is fully transferred to you only upon the completion of the final milestone payment.

6. Refunds and Cancellations

Due to the immediate, automated nature of our infrastructure (server provisioning, domain registry API calls, and digital file delivery), all successful deductions from your wallet ledger are strictly non-refundable.

If a server deployment fails, or a domain transfer errors out strictly due to a Nexservices system failure, the deducted NGN amount will be manually credited back to your wallet ledger upon technical review.

7. Modifications to Terms

Nexservices reserves the right to modify these Terms of Service at any time to reflect changes in our infrastructure, new legal requirements, or marketplace dynamics. We will notify active users of significant changes via their dashboard. Continued use of the platform after updates constitutes your acceptance of the revised Terms.
